Compliances of SEBI (Listing Obligation and Disclosure Requirements) Regulations, for public Listed Company.
Be responsible and manage the secretarial functions of the Company and therefore, a thorough understanding of Companies Act and the rules thereunder.
Ensuring half yearly, yearly and event-based compliances applicable to the Company including XBRL under LODR.
Quarterly/Half Yearly/Yearly submissions/filings of various compliances/intimations with Stock Exchange
Preparation and filing of Half Yearly/Annual and routine MCA/RoC related e-Forms/Returns
Schedule, plan and organize Ad hoc/quarterly Board and Board Committee meetings and annual general meetings (AGM).
Prepare agenda and draft minutes of Board/Board Committee Meetings and Annual General Meetings (AGM).
Drafting/preparation of Annual Report including Directors Report
Drafting resolutions as per the business requirements of the Company.
Prepare and undertake all statutory and other filings including to the Registrar of Companies and the Ministry of Corporate Affairs.
To maintain and record Statutory Registers as required under the Companies Act & Rules thereunder.
Company Secretarial activities - Notice, Agenda, Minutes of meeting & Various filings with MCA, FEMA compliances relating to FDI, accounting & reconciliations.
Other secretarial compliances of listed as well as non-listed subsidiaries/associates/group companies.
Preparation of documents required for the Incorporation of a Company.
Complete knowledge of secretarial work & compliance applicable for listed company, meeting requirement as per listing agreement, listing obligations
Response to queries raised by Stock Exchange / Shareholders / Directors
Updation of Company Website from time to time
Coordination with Practising Company Secretary (PCS) for secretarial audit and other work
Other Corporate Governance related work
Legal work including drafting of agreements.
Work with other departments/team to ensure smooth conduct of Company’s affairs.
Keeping the team updated with amendments and laws.
Other day to day secretarial work such as managing requirements of statutory & secretarial auditors etc.
